The invention discloses a nacelle and an aero-engine, a lip is manufactured and formed by a composite material laminated plate, the composite material laminated plate comprises a glass fiber layer and an aluminum alloy layer, and the glass fiber layer and the aluminum alloy layer are alternately paved and cured to form the lip. The lip is manufactured through the composite material laminated plate, the composite material laminated plate is arranged to comprise the glass fiber layers and the aluminum alloy layers, and the glass fiber layers and the aluminum alloy layers are alternately laid and pasted and are cured and formed. The lip made of the composite material laminated plate is high in structural rigidity and can effectively resist bird impact. Even if a foreign object penetrates through one glass fiber layer or aluminum alloy layer, other glass fiber layers or aluminum alloy layers in the glass fiber layer or aluminum alloy layer can well block the foreign object, and the foreign object is prevented from entering the fan cabin. The lip made of the composite laminated plate is simple in manufacturing process, an inner molded surface does not need to be milled, and the utilization rate of raw materials is increased.
