This paper documents the contracting and procurement issues and opportunities encountered by Virginia Department of Transportation (VDOT) in developing what was their first public-private partnership agreement for an Intelligent Transportation System (ITS). The public sector role in the project includes program support, and providing data, critical information, and funds. The private sector will install the needed communications and information processing infrastructure, and will also contribute to the project funding. It is the intent of the public and private partners that all infrastructure, all operations and maintenance of the systems installed to provide the traveler information service will be the responsibility of the private sector.
